Proposals and Agreements

Optimisednewsrelease will provide a proposal outlining the scope of work, deliverables, timeline, and pricing. This proposal, once accepted by the Client, constitutes the engagement agreement. No engagement is valid until both parties have agreed to these terms in writing.

Payment Terms

Payment terms are specified in individual engagement agreements. Standard terms are net 30 days from invoice date. Late payments may incur interest charges. Optimisednewsrelease reserves the right to suspend services if invoices remain unpaid beyond agreed terms.

Refund Policy

Refunds are determined on a case-by-case basis according to the specific engagement agreement. Generally, refunds will not be provided for services rendered unless there has been a material failure to deliver agreed deliverables. Any refund claims must be submitted within 30 days of service completion.

6. Intellectual Property Rights

Optimisednewsrelease IP

Optimisednewsrelease retains all intellectual property rights to its methodologies, frameworks, templates, and proprietary processes. These remain the exclusive property of Optimisednewsrelease and may not be reproduced or transferred without written consent.

Client Data

You retain all intellectual property rights to your data and information provided to Optimisednewsrelease. Optimisednewsrelease receives a limited license to use your data solely for the purpose of providing the engaged services.

Deliverables

Custom deliverables created specifically for an engagement (such as process maps, analysis reports, or recommendations) are owned by the Client upon final payment. Optimisednewsrelease retains the right to use anonymised insights or learnings from the engagement for methodological improvement.

7. Confidentiality

Both parties agree to maintain strict confidentiality regarding information shared during engagements. Optimisednewsrelease will not disclose Client information to third parties without written consent, except as required by law. This obligation continues for three years following engagement completion.

8. Limitation of Liability

To the extent permitted by Hong Kong law, Optimisednewsrelease's total liability to the Client for any claims arising out of or related to this agreement shall not exceed the fees paid or payable by the Client in the 12 months preceding the claim. Optimisednewsrelease will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss.

9. Disclaimer of Warranties

Our services and website are provided on an "as is" basis. Optimisednewsrelease makes no representations or warranties, express or implied, regarding the fitness of our services for any particular purpose. We do not guarantee that our analysis will produce specific results, nor do we warrant that recommendations will resolve identified issues.

Results depend on many factors outside Optimisednewsrelease's control, including implementation effectiveness, organisational adoption, and external business conditions.

You agree to indemnify and hold harmless Optimisednewsrelease, its officers, directors, and employees from any claims, damages, losses, or expenses (including legal fees) arising from:

Termination by Client

The Client may terminate an engagement with 14 days' written notice. If terminated before completion, the Client remains liable for fees accrued to the termination date plus reasonable wind-down costs.

Termination by Optimisednewsrelease

Optimisednewsrelease may terminate an engagement if the Client breaches material terms and fails to remedy the breach within 14 days of written notice, or if continued engagement would violate applicable law.

12. Governing Law and Jurisdiction

These Terms & Conditions are governed by the laws of Hong Kong. Both parties consent to the exclusive jurisdiction of the Hong Kong courts for any disputes arising from or related to this agreement.

13. Dispute Resolution

Before pursuing formal legal action, both parties agree to attempt good-faith resolution through direct negotiation. If negotiation fails within 30 days, either party may pursue arbitration or litigation in Hong Kong courts.

14. Entire Agreement

These Terms & Conditions, together with any engagement-specific agreement, constitute the entire agreement between the parties and supersede all prior negotiations, understandings, and agreements.

15. Modifications to Terms

Optimisednewsrelease reserves the right to modify these terms at any time. Material changes will be communicated at least 30 days in advance. Your continued use of our website or services constitutes acceptance of modified terms.
